Terms and Conditions of Alaya Guru S.r.l. Last Modified: January 9, 2026

Preamble and Service Description

Alaya Guru S.r.l. (hereinafter "Alaya Guru," "we," "us"), with registered office at Via Vela 42, 10128 Turin (TO), Tax ID 12703070016, manages the digital platform alaya.guru (the "Site" or "Platform"), a marketplace that connects professional holistic practitioners (therapists, associations, wellness centers) with users interested in sessions, courses, and holistic wellness paths (yoga, meditation, energetic massage, tantra, etc.).

The main services offered are:

Profile registration for holistic practitioners (professional profile visibility)
Premium subscriptions for advanced visibility and additional features (rates published on the site)
Practitioner search by city, discipline, and specialization
Publication of sessions, courses, and training programs
Review space for users
Electronic invoicing for practitioners purchasing service packages

This document contains the Terms and Conditions (hereinafter "Terms") that govern the use of the Platform. Access and use imply full acceptance of this Agreement.

1. Definitions

● Visitor: Unregistered person freely browsing the Site to search for practitioners and information
● Practitioner: Registered and verified holistic professional who publishes their professional profile on the Platform
● User: Registered person who books sessions, courses, or programs through the Platform
● Profile: Professional profile card (description, photos, videos, reviews)
● Content: Texts, images, videos, descriptions, and any material published by practitioners on the Platform

2. Access and Use Requirements

2.1 Minimum Age

Services are reserved for adults (18+ years old). Use by minors is prohibited. Practitioners and Users guarantee they are at least 18 years old at the time of registration.

2.2 Practitioner Registration

Practitioners commit to:

Provide truthful and complete information in the profile description
Keep verifiable documentation (diplomas, certificates, professional references) available upon request from Alaya Guru
Describe their holistic activities in compliance with applicable Italian regulations (D.Lgs. 206/2005 - Consumer Code, Law 4/2013)
Keep profile information updated and accurate
Take full responsibility for any content published
Declare acceptance of the ethical principles of honesty, transparency, and respect for others' rights

Consequence of false or fraudulent information: Immediate account suspension without refund.

2.3 Profile Verification

Alaya Guru reserves the right to:

Verify documentation provided by practitioners before profile publication
Refuse registration without obligation to provide reasons
Remove non-compliant profiles
Contact practitioners to request additional documentation

2.4 Non-transferability and Uniqueness

Accounts and user IDs cannot be transferred or assigned to third parties
Each practitioner can manage only one profile on the Platform
Duplicate or fraudulent profiles will be removed immediately

3. Services and Features

3.1 For Practitioners

Free Basic Profile:

Profile Page [Professional description (text), photo, contact information (email, optional phone), presentation video (optional), social media profile links]
2 pages (linked to profile page) for activities the practitioner wishes to promote

Premium Subscriptions: (specific amounts published on site)

Featured search and map visibility
"Verified" badge
5 pages (linked to profile page) for activities the practitioner wishes to promote
Personalized virtual room for video conferences
Profile access statistics
Additional features (under development)

3.2 For Users

Free practitioner search by city, discipline, and specialization
Practitioner profile browsing (description, photos, videos, reviews)
Post-session review system

3.3 Absence of Intermediation

Important: Alaya Guru is not an intermediary in direct transactions between practitioners and users. The platform provides only a meeting space and visibility. Any agreement on prices, session methods, cancellations is agreed directly between practitioner and user.

4. Payments and Billing

4.1 Billing for Practitioner Packages

Alaya Guru issues electronic invoices for:

Premium subscriptions (monthly/quarterly/annual cycle)
Additional service packages

Payment methods: As indicated during checkout (Revolut, bank transfer, card processing).

4.2 Document Preservation

Invoices and billing data are retained according to Italian legal requirements (10 years for tax obligations).

4.3 Premium Subscriptions: Right of Withdrawal

Compliant with Italian Consumer Code (D.Lgs. 206/2005, art. 52):

Right of withdrawal: 14 days from subscription for consumers
Refund: Full if exercised within the time limit
Renewal: Automatic unless written notice of cancellation is given at least 7 days before expiration

5. Content and Responsibility

5.1 Content and Prohibited Conduct

It is prohibited to publish or distribute on the Platform:

❌ Pornography, obscenity, violence
❌ Discrimination based on race, gender, religion, sexual orientation
❌ False medical promises, miracle cures, medical diagnoses
❌ Spam, harassment, threats, defamation
❌ Violation of copyright or third-party trademarks
❌ Personal information of third parties without consent
❌ Content that violates Italian law

Practitioners commit to: Describe their activities as holistic wellness and self-care practices, not as medical treatments. It is the practitioner's responsibility to include clear disclaimers about the non-medical nature of their practices.

5.2 Moderation and Content Removal

Alaya Guru may remove without notice content that violates these Terms or Italian law, including account suspension.

5.3 Liability Disclaimer

Alaya Guru does not guarantee and is not responsible for:

Quality, effectiveness, or safety of services offered by practitioners
Professional competence of registered practitioners (documentation verification does not absolve practitioner responsibility)
Physical, psychological, or economic damages resulting from sessions/courses
Content published by practitioners on third-party platforms
Misconduct by practitioners or Users
Temporary Platform unavailability for maintenance

Medical Declaration: Holistic activities do not replace professional medical care. Practitioners are not doctors and cannot make diagnoses. Users are responsible for consulting doctors for medical matters.

5.4 Practitioner Responsibility

Practitioners are strongly recommended to obtain professional liability insurance coverage appropriate to their activities. While not mandatory for all holistic disciplines, this coverage is considered best practice to ensure greater safety for both Practitioner and User. Alaya Guru reserves the right to request evidence in case of complaints or disputes.

Practitioners are personally and fully responsible for:

Damages to Users resulting from their conduct or services
Published content that is not truthful
Violation of laws (privacy, professional orders, Law 4/2013)
Lack of liability insurance (if required by regulation)

6. Google Indexing and Data Permanence

Once published and indexed by search engines, content may remain online beyond removal from the Platform. Alaya Guru does not have the technical ability to remove information indexed by Google.

Practitioners are responsible for what they publish and is visible online.

7. Privacy and Data Protection

Platform use is governed by:

Complete Privacy Policy (EU Regulation 2016/679 GDPR)
Complete Cookie Policy (Privacy Guarantor Guidelines 2021)

In case of conflict between these Terms and personal data processing notices, the Privacy Policy and Cookie Policy prevail.

GDPR Rights

Every user has the right to:

Access their data (art. 15 GDPR)
Rectify inaccurate data (art. 16 GDPR)
Request deletion (art. 17 GDPR)
Revoke consent at any time
File a complaint with the Privacy Guarantor (www.garanteprivacy.it)

8. Withdrawal Rights, Cancellation, and Termination

8.1 Withdrawal from Premium Subscription

14 days from subscription for non-professional consumers, with full refund (Consumer Code).

8.2 Account Cancellation

Users and Practitioners can delete their own account independently from the dashboard.

Cancellation results in:

Removal from Site within 30 days
Data deletion within 12 months (legal obligations)
Invoice retention for 10 years (Italian law)

8.3 Suspension and Termination for Violations

Alaya Guru may suspend or close accounts without notice for:

Violation of these Terms
Offensive, false, or illegal content
Misconduct toward Users
Request by competent authorities
Fraudulent activity

9. Modifications to Terms

Alaya Guru may update the Terms at any time. Modifications will be:

Published on the Site with update date
Notified via email to registered users at least 7 days before entry into force

Effect: Continued use of the Platform after notification implies acceptance of modifications. Users who do not accept may delete their account.

10. Intellectual Property

10.1 Alaya Guru's Property

All Platform content (logo, design, functionality, texts) is the property of Alaya Guru or its suppliers, protected by copyright.

10.2 Rights to User Content

Practitioners retain ownership of published content. They grant Alaya Guru a limited license for display and distribution through the Platform.

11. Limitation of Liability

Except for non-waivable liability by law:

Alaya Guru is not responsible for damages:

Direct, indirect, consequential, special
Loss of data, profits, reputation
Errors, omissions, unauthorized access
Platform malfunctions

Maximum limit: Amount paid by the user in the last 12 months.

12. Applicable Law and Dispute Resolution

12.1 Applicable Law

These Terms are governed by Italian law.

12.2 Territorial Jurisdiction

Exclusively competent court: Court of Turin (TO).

12.3 Alternate Dispute Resolution (ADR)

For disputes not resolved amicably, the parties may resort to mediation/arbitration in accordance with Italian regulations.

Terms Acceptance

By registering, you declare that you have read, understood, and fully accepted these Terms and Conditions. Registration constitutes binding acceptance of all terms and conditions.
